Terms & Conditions of Sale
This Contract is subject to UK Law

1. Definitions

the Goods' means all articles sold to the Customer, including replacements for defective goods.

the Contract' means the contract between the customer and AR Distribution for the sale of Goods.

the Customer' means the person or organisation accepting the company's quotation (whether written or oral) embodying these terms.

2. Acknowledgement

All orders accepted by AR Distribution are subject to the following terms and conditions of sale which shall be deemed to be incorporated into the Contract. By the placement of an order (by whatever means) the Customer will be deemed to have acknowledged and accepted the said terms and conditions and will be bound by them notwithstanding any terms on the customers order. Any variation to these conditions shall be inapplicable unless agreed in writing by AR Distribution.

3. Prices

AR Distribution shall be entitled to withdraw any quotation at any time prior to acceptance by the Customer.

AR Distribution reserves the right to amend prices at any time without prior notice. A current price list is available on request.

A priced Delivery Note/ Invoice is included with each Delivery of Goods. All Trade prices quoted exclude VAT.

4. VAT

All prices are subject to VAT at the current rate prevailing at the time of delivery.

5. Settlement Terms

The ownership of the Goods shall remain with AR Distribution until payment in full has been received.

Invoices are to be paid prior to shipping of the goods unless the Customer has an approved credit account.

Unless specified otherwise the invoice settlement terms are 3% discount on balances paid within 7 days of the invoice date on orders only, not approval shipments.

Settlement discounts are only available for payments made by bank transfer, not credit card or debit card payments.

Credit terms do not apply to approval bows unless in exceptional circumstances to be agreed with AR Distribution.

The Customer shall pay all legal administration and other costs incurred by AR Distribution in recovering overdue sums from the Customer.

The Customer shall make all payments in full without withholding, deducting or set off for any reason.

AR Distribution reserves the right to charge interest on overdue amounts at the rate of 10% per month from the due date to the date of payment.

6. Credit Accounts

A Customer wishing to open a credit account with AR Distribution must complete the Account Application form which requires bank details and two trade references. AR Distribution reserves the right in its absolute discretion to grant, refuse or discontinue credit facilities at any point.

7. Returns

Goods may not be returned for replacement or credit without a prior returns authorisation number and must be accompanied by an explanation and the relevant invoice number.
No order may be cancelled without the previous written agreement of AR Distribution. Without such a written agreement, AR Distribution will not accept the return of any goods incorrectly ordered or no longer required and reserves the right to charge the Customer a restocking fee.

AR Distribution will not accept the return of Goods which, in its opinion, have been the subject of undue wear and tear, accident, improper application or neglect. AR Distribution opinion on this is final. Goods authorised for return must be packaged adequately to protect against damage or breakage. AR Distribution reserve the right to recharge for any such damage or breakage.

8. Delivery

AR Distribution will use reasonable endeavours to meet delivery estimates but cannot accept any liability whatsoever for failure to do so however arising.

9. Acceptance of goods

The Customer shall be deemed to accept the Goods 24 hours after delivery to the Customer. After acceptance of the Goods the Customer shall not be entitled to reject the Goods which are not in accordance with the Contract.

10. Export

Separate Conditions of Sale apply to export transactions other than those to Northern Ireland, Eire, Scottish Isles, Isle of Mann, Isle of Wight and Channel Islands. These are available on request.

AR Distribution reserves the right not to supply certain Customers or countries and to enquire of the Customer full details of the end use and final destination of the Goods.

11. Carriage and Handling Charges

UK Mainland - Orders are subject to a carriage and handling charge as detailed on the current price list.

Northern Ireland, Eire, Scottish Isles, Isle of Mann, Isle of Wight, Channel Islands: orders are subject to a carriage charge levied at the handler's current rate.

12. Shortages or Damages in Transit

AR Distribution will not consider any claim for short delivery or damage in transit unless written notice is given to AR Distribution within five days from the delivery date.
The Customer must serve AR Distribution with a notice of non-delivery within 14 days of the date of invoice.

13. Ownership and Risk

The risk in the Goods supplied by AR Distribution will pass to the Customer when the Goods are delivered to the Customer's premises. However, the title to the Goods will not pass to the Customer until payment in full of all sums due from the Customer to AR Distribution has been made. If payment (whether in full or part) is not made by the due date or the Customer is wound up, or a receiver is appointed over any assets or the undertaking of the Customer or an execution or distress be levied against the Customer, AR Distribution will be entitles without prior notice to the Customer or any liquidator or receiver to retake possession of the Goods (and for that purpose to enter upon any premises occupied or owned by the Customer).

Whilst the ownership of AR Distribution continues the Customer shall keep the Goods separate and identifiable from other Goods in it's possession as bailee for AR Distribution .

In the event of any re-sale by the Customer of the Goods the beneficial entitlement of AR Distribution shall attach to the proceeds of sale or other disposition thereof so that such proceeds or any claim thereof shall be assigned to AR Distribution and until and such to such assignment shall be held on trust in a separate identifiable account for AR Distribution by the Customer who will stand in a strictly fiduciary capacity in respect thereof.

14. Intellectual Property Rights

14.1 You are permitted to print and download extracts from the AR Distribution Website for your own use on the following basis:

  • (a) no documents or related graphics on this Website are modified in any way;
  • (b) no graphics on this website are used separately from accompanying text;
  • (c) any of our copyright and trade mark notices and this permission notice appear in all copies; and
  • (d) you must have our written permission to use our photographs and/or text.
14.2 Unless otherwise stated, the copyright and other intellectual property rights in all material on the AR Distribution Website (including without limitation photographs and graphical images) are owned by us or our licensors. For the purposes of these terms and conditions, any use of extracts from the AR Distribution Website other than in accordance with clause 14.1 above for any purpose is prohibited. If you breach any of the terms in these terms and conditions, your permission to use the AR Distribution Website automatically terminates and you must immediately destroy any downloaded or printed extracts from this Website.

14.3 Subject to clause 14.1, no part of this Website may be reproduced or stored in any other website or included in any public or private electronic retrieval system or service without our prior written permission.

14.4 Any rights not expressly granted in these terms are reserved.
